Membership Terms of Service

Effective Date: November 28, 2025

These Terms of Service (“Terms”) govern your access to and use of the Portfolio Club web application (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use the Service. By registering, you represent that you meet these requirements.

2. Membership

  • Free Trial – New members receive a time-limited trial with full access to the Service. No payment is required during the trial.
  • Paid Membership – When the trial ends, continued access requires a paid subscription, billed monthly or yearly as described on our pricing page. You may cancel at any time.

Membership features and pricing may change from time to time with notice.

3. Account Registration & Security

  • You must provide accurate, complete, and current information when registering.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. License & Use Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal or internal purposes only.

You may not:

  • Use the Service on behalf of or in connection with providing services to third parties, including as part of a business, consulting, or professional advisory service (e.g., wealth management, financial planning, or investment advisory for clients).
  • Copy, modify, reverse engineer, decompile, or attempt to extract source code.
  • Share, resell, sublicense, or otherwise make the Service available to others, except as expressly permitted by us in writing.
  • Remove, obscure, or alter any proprietary notices.

5. Intellectual Property

  • All rights, title, and interest in the Service (including software, designs, text, graphics, and trademarks) remain with Lexarry Financial Management Ltd.
  • The Service is licensed to you, not sold.
  • You agree not to infringe, misappropriate, or violate our intellectual property rights or those of other members.

6. Payments & Renewals (for Paid Memberships)

  • Fees are due in advance and are non-refundable except as required by law.
  • Memberships renew automatically unless you cancel before the renewal date.
  • We may change prices with at least 30 days’ notice before your next billing cycle.
  • If you cancel your membership, your access continues to the end of the period you have already paid for. If you close your membership, your access ends immediately. In either case we do not refund the unused portion of a period already paid.

7. Termination

We may suspend or terminate your account, with or without notice, if:

  • You breach these Terms.
  • You engage in inappropriate, abusive, harassing, or otherwise disruptive behavior toward other members or our staff, whether on or off the platform.
  • You post or transmit content that is unlawful, defamatory, obscene, or otherwise objectionable in our sole judgment.

Upon termination:

  • Your right to use the Service ends immediately.
  • We may remove or disable access to your content.
  • We may refuse future membership at our discretion.

You may close your membership yourself at any time, from your account settings. Closing ends your access immediately and is not refunded. When you close, you choose whether we keep your information for six months in case you return, or delete it straight away. Either way, what we keep and for how long is set out in section 6 of our Privacy Policy.

8. Breach of Intellectual Property

If we believe that you have breached our intellectual property rights or the rights of another member:

  • We may immediately suspend or terminate your account.
  • We may remove any infringing content without notice.
  • We may pursue all legal and equitable remedies available, including seeking damages, injunctions, and recovery of legal costs.
  • You agree to cooperate fully with any investigation of suspected IP infringement.

9. Indemnification

You agree to indemnify, defend, and hold harmless Lexarry Financial Management Ltd., its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use or misuse of the Service;
  • Your violation of these Terms; or
  • Your infringement of any intellectual property or other rights of any person or entity.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and store your personal information.

11. Disclaimers

The Service is provided “as is” without warranties of any kind. We do not guarantee uninterrupted or error-free operation.

  • The Service includes financial planning and income tax estimating tools. These tools are intended for educational and informational purposes only. Results generated by these tools are estimates and may not reflect your actual financial or tax situation.
  • We do not provide legal, accounting, tax, or investment advice. Nothing in the Service should be construed as personalized professional advice.
  • When in doubt, you should consult a qualified tax advisor, financial planner, or other professional before making decisions based on information from the Service.
  • You are solely responsible for your investment, tax, and financial planning decisions. By using the Service, you acknowledge that it is designed to support self-directed (“DIY”) investors who take responsibility for their own learning and research.

12. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential damages.
  • Our total liability is limited to the amount you paid us in the 12 months before the claim (or $0 during a free trial).

13. Governing Law

These Terms are governed by the laws of Alberta, Canada. Any disputes will be resolved in the courts of Alberta, Canada.

14. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use of the Service after notice means you accept the updated Terms.
